Meta has formalized one of the largest AI infrastructure agreements in history, committing up to $60 billion over five years to purchase AMD's next-generation AI chips. The deal, announced at the end of February and still reverberating through markets this week, signals a decisive shift in how Big Tech is building out the compute layer for artificial intelligence.

What the Deal Includes

At its core, the partnership centers on AMD's upcoming Instinct MI450 GPUs paired with 6th Gen EPYC processors codenamed "Venice," all running on AMD's ROCm software stack. The first gigawatt of deployment is slated for the second half of 2026, with a target of scaling to 6 gigawatts of total AI computing capacity across Meta's global data center fleet.

But the hardware is only part of the story. In an unusual structural twist, the agreement includes performance-based warrants that would allow Meta to acquire up to 160 million AMD shares at a nominal price. If exercised in full, that stake would represent roughly 10% of AMD — a move that would give Meta meaningful influence over one of its key chip suppliers.

Why It Matters

For Meta, the deal is about diversification. The company has historically relied heavily on Nvidia for its AI training and inference workloads. By locking in a multi-year, multi-gigawatt commitment with AMD, Meta reduces single-vendor risk and gains negotiating leverage across its supply chain.

For AMD, this is a validation moment. The MI450 architecture represents the company's most aggressive push into the AI accelerator market, and a customer of Meta's scale provides the kind of demand signal that moves the entire ecosystem — from cloud providers to software developers — toward AMD's platform.

Market Reaction

AMD shares jumped on the announcement, reflecting investor optimism about the company's growing share of the AI infrastructure market. Analysts noted that the equity component adds a layer of strategic alignment between the two companies that goes beyond a typical procurement contract.

The Bigger Picture

The partnership arrives as global AI infrastructure spending accelerates at an unprecedented pace.
